Welcome to Business Coaching Playbook. These Terms & Conditions (“Terms”) govern your access to and use of www.businesscoachingplaybook.com (the “Site”) and services offered through the Site. By using the Site or purchasing any service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Site or its services.
Definitions
In these Terms, unless the context otherwise requires:
- “We/Us/Our” means Business Coaching Playbook (or your legal/registered business entity).
- “You / Client / User” means the person or entity accessing or using the Site or services.
- “Services” refers to coaching, training, consulting, digital products, or other programs offered via the Site.
- “Content” refers to all information, materials, text, graphics, videos, tools, software, resources, downloads, or other materials provided via the Site or in connection with Services.
- “Subscription / Membership” means recurring access to materials, groups, portals, or resources under periodic payment terms (if applicable).
Acceptance of Terms
- Your use of the Site or purchase of Services indicates that you accept and agree to these Terms (as updated from time to time).
- We may revise these Terms at any time. The updated Terms will be posted here with a new “Last updated” date. Continued use of the Site or services after such changes constitutes acceptance of the revised Terms.
- You should review these Terms periodically.
Use of the Site / User Conduct
- You must be at least 18 years old (or have legal capacity) to use the Site or engage our Services.
- You agree not to use the Site or Services for any unlawful purpose or in a way that violates any laws or rights of others.
- You must not (and must not attempt to):
• interfere with or disrupt the Site or servers;
• use the Site in a way that could introduce viruses, malware, or harmful code;
• reverse engineer, decompile, or derive source code from the Site;
• misrepresent your identity or impersonate others;
• infringe on our intellectual property or the rights of others. - If we determine (in our sole discretion) that you have breached these rules, we may suspend or terminate your access without notice.
Services & Content
- We aim to provide Services in a professional manner consistent with industry standards.
- We do not guarantee specific outcomes, results, income, or success from using our Services — success depends on many factors, including your effort, circumstances, and external conditions.
- You are responsible for implementing strategies, actions, and decisions based on coaching or advice.
- All Content provided is for educational / informational / coaching purposes only and does not constitute legal, financial, medical, or other professional advice. You should seek appropriate independent professional advice before acting on anything you learn.
- We may update, modify, or discontinue (temporarily or permanently) any part of the Services or Content at any time, for any reason, without liability to you.
Fees, Payments & Billing
- All fees for Services will be clearly stated before purchase or enrolment. Prices are in Australian Dollars (unless otherwise specified).
- You must pay via the methods we accept (credit card, direct debit, other payment gateways).
- For subscription or membership services, payments will recur automatically at the applicable interval, unless cancelled in advance.
- You are responsible for maintaining up-to-date payment information.
- If a payment is declined, we may suspend or terminate your access until payment is made.
- We reserve the right to change pricing or fees, but will provide you advance notice of any change.
Intellectual Property & Licence
- We (or our licensors) own all intellectual property rights in the Site, Services, and Content (including trademarks, copyrights, designs, etc.).
- Subject to your compliance with these Terms (including payment obligations), we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Content solely for your personal or business development (non-commercial resale) purposes.
- You must not copy, reproduce, distribute, adapt, modify, publicly display, create derivative works from, commercialise, or exploit any part of the Content without our written permission.
- If you provide feedback or suggestions, you grant us a perpetual, royalty-free, irrevocable licence to use that feedback as we see fit.
Confidentiality
- In connection with the Services, you may disclose to us confidential or sensitive business information (“Client Confidential Information”).
- We will treat all Client Confidential Information as strictly confidential and not disclose it, except to our employees, contractors, or professional advisors who need to know and are bound by confidentiality obligations.
- Similarly, you must treat all methodologies, tools, curricula, templates, materials we provide as confidential unless explicitly stated otherwise.
- Confidentiality obligations do not apply to information that:
• was already public knowledge (not due to breach);
• was lawfully obtained from a third party;
• is required to be disclosed under law or legal process (in which case you must provide notice so we may seek protective measures).
Liability Limitation & Disclaimers
To the maximum extent permitted by law:
- We exclude all implied warranties or guarantees (other than those that cannot be lawfully excluded).
- We are not liable for any indirect, incidental, special, punitive or consequential loss or damage (including loss of profits, revenue, business opportunity, data) arising out of or in connection with your use of the Site or Services.
- Our total liability to you for any claim is limited to the amount you paid to us for the relevant Services (or, if you paid nothing, to AUD 1).
- We make no warranty that the Site or Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- You agree that coaching is not a substitute for therapy, medical, legal or financial advice. We do not warrant that results will be achieved.
Indemnification
You agree to indemnify, defend, and hold harmless us (and our directors, officers, employees, contractors, agents) from and against any claims, liabilities, losses, damages, costs (including legal costs) arising from:
- Your breach of these Terms;
- Your misuse of the Site or Services;
- Your violation of any rights of a third party;
- Any claim that your use of the Site or Services caused damage to a third party.
Dispute Resolution & Governing Law
- These Terms are governed by the laws of Western Australia, Australia.
- Any dispute, controversy, or claim arising out of or relating to these Terms (or their breach) shall first be attempted to be resolved by good-faith negotiation.
- If negotiation fails, the parties agree to attempt mediation before commencing court proceedings.
- If mediation is unsuccessful, disputes may be resolved in courts of competent jurisdiction in Western Australia.
Termination & Suspension
- We may suspend or terminate your access to the Site or Services at any time, without notice, for breach of these Terms or for any reason.
- On termination, your licence to use Content, services or Materials ends immediately.
- Sections that should survive termination include: confidentiality, intellectual property, indemnification, limitation of liability, dispute resolution, license restrictions.
Links, Third-Party Services & External Content
- The Site may include links to third-party websites, services, or resources maintained by others. We are not responsible for their content, availability, or practices.
- You use any linked resources at your own risk.
- You must comply with third-party terms when accessing or using such external services.
Privacy & Data
- We collect, use, and store your personal information in accordance with our Privacy Policy (which is a separate legally binding document).
- You agree that by using the Site or engaging our Services, you consent to the collection and use of your personal data as set out in our Privacy Policy.
- We may use cookies, tracking tools, analytics, and other mechanisms; applicable cookie notices or pop-ups will apply.
Updates to the Site & Changes
- We may update, modify, or remove features, content, or portions of the Site or Services at any time.
- We may update these Terms (see clause 2).
- Where materially adverse changes occur, we may notify you (for example, via email) and possibly provide an option to cancel or terminate under the old terms if you do not accept the changes.
Severability & Waiver
- If any provision of these Terms is held to be invalid or unenforceable in whole or in part, such invalidity will not affect the remainder of the Terms. The invalid part will be modified to the minimum extent necessary or replaced with a valid provision that reflects the original intent.
- Failure or delay by us to enforce any right or provision will not constitute a waiver of that right or provision.
Entire Agreement & Variation
- These Terms (together with any documents they reference, including the Privacy Policy) constitute the entire agreement between you and us relating to your use of the Site and Services, overriding any prior agreements.
- Any variation must be in writing and agreed by both parties (unless we reserve the right to vary through clause 2).
